1. Introduction

Welcome to BNK Services (“Company”, “we”, “our”, or “us”). We are an enterprise-focused Information Technology firm specializing in comprehensive software development, robust web applications, and ongoing IT support.

Important Notice: The brand name “BNK” is strictly an identifying trademark. BNK Services does not offer banking, loan, deposit, or financial transaction services. We are solely a technology development and consulting firm.

This Cancellation Policy outlines the exact procedures, rights, and financial implications involved when either party decides to terminate an ongoing project, subscription, or service contract. This document ensures an organized, transparent, and fair dissolution of business agreements.

2. Purpose

The purpose of this Cancellation Policy is to establish clear operational guidelines for contract termination. Software development requires significant scheduling of engineering resources; thus, abrupt cancellations impact our business pipeline. This policy ensures that cancellations are handled professionally, protecting our resource allocation while respecting the client’s right to terminate services.

3. Scope

This policy applies to the cancellation of any and all IT services provided by BNK Services, including but not limited to:

  • Custom Software and Mobile Application Development Projects.
  • Website Design and Development Contracts.
  • Recurring IT Maintenance and Support Contracts.
  • Software-as-a-Service (SaaS) and Hosted SEO Tool Subscriptions.

This policy works in tandem with our Refund Policy and primary Terms of Service.

4. Definitions

  • Project: A specific, defined scope of IT work (e.g., building a custom CRM system) with a start and end date.
  • Subscription / Maintenance Contract: An ongoing, recurring service billed monthly or annually.
  • Notice Period: The mandatory timeframe required between announcing a cancellation and the actual termination of services.
  • Deliverables: The completed or partially completed code, designs, and documentation produced up to the point of cancellation.

5. Project Cancellation

5.1 Cancellation by the Client

You reserve the right to cancel a custom software or web development project at any time prior to completion. However, due to the allocation of our engineering resources, the following terms apply:

  • Written Notice: You must provide formal written notice of cancellation via email to your designated Project Manager and our billing department.
  • Financial Obligation: You are financially responsible for all engineering hours logged, work completed, and third-party expenses incurred up to the exact date the written cancellation notice is received.
  • Transfer of Deliverables: Upon full payment of the final outstanding invoice for work completed to date, we will package and transfer all partially completed source code, designs, and documentation to you. If final payment is not made, BNK Services retains full ownership of all incomplete deliverables.

5.2 Cancellation by BNK Services

We reserve the right to cancel a project under specific circumstances, including but not limited to:

  • The client repeatedly fails to provide necessary feedback, assets, or approvals required to move development forward (project stalling).
  • The client breaches the Terms of Service, Acceptable Use Policy, or fails to make scheduled milestone payments.
  • Unforeseen technical impossibilities arise that fundamentally alter the project’s viability.

If we initiate the cancellation due to a client breach, the client remains responsible for all work completed up to that date.

6. Subscription Cancellation

6.1 SaaS and Hosted Tools

If you are subscribed to our proprietary hosted software, SEO tools, or automated AI solutions:

  • You may cancel your subscription at any time through your User Account dashboard or by submitting a support ticket.
  • Cancellation will take effect at the conclusion of your current, active billing cycle.
  • You will retain access to the service until the end of that cycle. We do not issue partial refunds for mid-cycle cancellations.

7. Maintenance Contracts Cancellation

Annual or monthly maintenance and support contracts (such as server monitoring, security patching, and CMS updates) require dedicated infrastructure and standby personnel.

7.1 Required Notice Period

To cancel an ongoing IT maintenance contract, you must provide a minimum of thirty (30) days’ written notice prior to your next billing date.

7.2 Transition Assistance

Upon cancellation of a maintenance contract, BNK Services will provide reasonable transition assistance (e.g., handing over administrative credentials, providing recent database backups) to ensure a smooth handover to your internal IT team or a new vendor. Any extensive technical work required during this transition phase will be billed at our standard hourly consulting rate.

8. Client Responsibilities

When initiating a cancellation, the Client is responsible for:

  • Communicating the cancellation clearly and in writing (email is acceptable) to the correct department.
  • Settling any outstanding invoices for work already performed or resources already consumed.
  • Ensuring that any proprietary data, backups, or source code transferred upon cancellation is securely stored, as BNK Services will purge client data from our active development servers shortly after cancellation is finalized.

9. Developer Responsibilities (Company Responsibilities)

Upon receiving a valid cancellation notice, BNK Services is responsible for:

  • Immediately halting all active development work to prevent the accumulation of further billable hours.
  • Generating a final, transparent audit of hours worked and tasks completed up to the point of cancellation.
  • Facilitating the secure transfer of paid-for intellectual property and deliverables.
  • Revoking internal access to client systems and permanently deleting client data in accordance with our Data Deletion Policy.

10. Force Majeure

Neither BNK Services nor the Client shall be held liable for the cancellation of a project or failure to perform contractual obligations if such failure is caused by events beyond reasonable control. This includes acts of God, natural disasters, severe pandemics, acts of war, or catastrophic failures of global internet infrastructure.

11. Governing Law

This Cancellation Policy, and any disputes arising from the termination of our IT services, shall be governed by and construed in accordance with the laws of India. Legal proceedings related to contract termination shall be exclusively handled by the competent courts in our operational jurisdiction.

We reserve the right to review and update this Cancellation Policy periodically to align with our evolving business operations and service agreements.
